Nuans - Federal or Provincial?

Where to register?

Before ordering a nuans search, you need to decide which jurisdiction you plan on registering in. If you aren't incorporating, then your name search should be for the province where you want to establish your business - you can't federally register a non-incorporated company.

If you are incorporating, you need to consider whether a federal or provincial nuans search is best. For most, provincial registration is enough. You can always expand outside your province later. However, you may not be able to secure the name in another province later since someone else may have registered it.

That's where federal name protection comes in. A federal nuans search & incorporation protect your name & prevent its use by anyone else. But name granting rules are much stricter at the federal level - more nuans searches are rejected. Here are some pros & cons to federal & provincial incorporation:

The name is protected across Canada.	The name is only protected in the province or territory of incorporation.
Name granting rules are stricter & many names are rejected.	Name granting rules are less rigid & fewer names are rejected.
Business can operate across Canada BUT some provinces may require that you register provincially as well. You should contact the local corporate law administration office in each province or territory in which you plan to carry on business to determine which obligations may be placed on your corporation. When you incorporate your corporation at the federal level: - You may carry on business anywhere in Canada; - you have a degree of heightened name protection; - location flexibility-the registered office may be situated in any province or territory;	Business can only operate in the province of incorporation. To operate in other provinces, you must register there as well.

These are some of the questions you need to review before deciding which nuans name search is right for you. Unless your company already operates in more than one province or you plan on expanding into other provinces in the near future, a provincial nuans name search is likely the best way to go.
